Welcome to Collab Beacon (the "Platform"), operated by Collab Beacon, Inc. (referred to as "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

2. User Accounts

  • Registration: To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update it as necessary.

  • Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately of any unauthorized use.

  • Account Types:

    • Influencers: You may create a free profile, including social media handles, metrics, niches, and preferences.

    • Brands: You may subscribe to premium plans for advanced features, subject to payment terms.

We reserve the right to suspend or terminate accounts that violate these Terms.

3. User Conduct and Prohibited Activities

You agree to use the Services in compliance with applicable laws and these Terms. Prohibited activities include, but are not limited to:

  • Posting false, misleading, or fraudulent information.

  • Infringing on intellectual property rights, privacy, or publicity rights of others.

  • Engaging in harassment, discrimination, or harmful behavior.

  • Uploading viruses, malware, or other destructive code.

  • Attempting to reverse-engineer, scrape, or unauthorized access to our systems (except as permitted for data acquisition with consent).

  • Using the Services for illegal purposes, such as promoting unlawful products or services.

  • Impersonating others or creating multiple accounts to manipulate ratings or recommendations.

Influencers must deliver authentic content and proof of execution as agreed. Brands must pay promptly upon verification.

4. Content Ownership and Licenses

  • Your Content: You retain ownership of content you submit (e.g., profiles, campaign briefs, uploaded proofs). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display it as necessary to provide the Services (e.g., for AI analysis and matchmaking).

  • Our Content: All Platform content, including AI algorithms, scorecards, and designs, is owned by us or our licensors. You may not copy, modify, or distribute it without permission.

  • Feedback: Any suggestions or feedback you provide becomes our property, and we may use it without compensation.

5. Campaigns and Transactions

  • Workflow: As described in our "How It Works" sections, brands create campaigns, receive AI recommendations, invite influencers, and manage executions. Influencers accept gigs, deliver content, and submit proofs.

  • Payments: We facilitate payments via third-party processors (e.g., Stripe). Brands pay influencers upon approval; we may deduct commissions (as per our Revenue Model). You are responsible for taxes and fees.

  • Disputes: If disputes arise (e.g., over performance), we may mediate but are not liable for outcomes. Refunds are at our discretion.

6. AI and Data Usage

Our AI analyzes provided and public data (e.g., via scraping with consent) to generate matches and scorecards. We protect data privacy as outlined in our Privacy Policy. You acknowledge that AI recommendations are not guaranteed to be error-free.

7. Subscriptions and Fees

  • Freemium Model: Basic features are free; premium subscriptions for brands (e.g., unlimited analytics) are billed monthly or annually at the rates displayed on our site (currently $89/month, subject to change).

  • Billing: Subscriptions auto-renew unless canceled. We may change fees with notice.

  • Cancellation: You can cancel anytime; no refunds for partial periods.

8. Intellectual Property

You agree not to infringe on our trademarks, copyrights, or patents. "Collab Beacon" and related marks are our property.

9. Disclaimers

The Services are provided "as is" without warranties of any kind, express or implied, including accuracy, availability, or fitness for a particular purpose. We do not guarantee campaign success, influencer performance, or AI accuracy.

10. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for indirect, incidental, consequential, or punitive damages arising from the Services, even if advised of the possibility. Our total liability shall not exceed the fees paid by you in the past 12 months.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

12. Termination

We may terminate or suspend your access at any time for violations or other reasons, without notice. Upon termination, your right to use the Services ends, but obligations (e.g., payments) survive.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Massachusetts, USA, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of Boston, Massachusetts. You agree to arbitration for non-class action claims.

14. Miscellaneous

  • Severability: If any provision is invalid, the remainder remains in effect.

  • Waiver: No waiver of any term is binding unless in writing.

  • Entire Agreement: These Terms, along with our Privacy Policy, constitute the full agreement.
